eduZone is pleased to offer you access to the Internet platform www.eduzone.ca and other sites in the eduzone.ca domain in accordance with these General Terms and Conditions of Use and Sale (the “Terms and Conditions”).

The Terms and Conditions set out your legal rights and obligations with respect to your access or use of the www.eduZone.ca or cours.eduzone.ca, including, but not limited to, any content, information, software, features and products available through the website and any other content made available to you by eduZone (collectively, the "Site ") as well as the respective legal rights and obligations of eduZone.

Please read these Terms and Conditions and the Honor Code before creating an account on eduzone.ca or when using any part of the eduZone website. These Terms and Conditions and the following Code of Honor are the agreements (the “Agreements ”) between you and eduZone. Please also read the eduZone Site Privacy Policy before using any part of the eduZone Site.

1. ACCEPTANCE OF TERMS AND CONDITIONS

By registering for, accessing, or using the Site, you accept and consent, without limitation, qualification, or modification, to be bound by the Terms and Conditions. The privacy policy describes how your personal data is collected and processed when you use the eduZone site. If you do not understand or do not wish to be bound by the terms of the agreements or the privacy policy, you must not use the eduZone site.

2. MODIFICATION

eduZone may, at its sole discretion, modify the Terms and Conditions at any time, without notice or liability to you or any other person, by posting the revised Terms and Conditions on the Site. It is your responsibility to read these Terms and Conditions and to check the date they were updated to ensure that you are aware of any changes since the last revision. By registering for, accessing, or using the Site after posting of the revised Terms and Conditions, you indicate that you agree to be bound by these revised Terms and Conditions. If you do not agree with every provision of the revised Terms and Conditions, you must immediately stop using the Site.

3. LANGUAGES

Any version of these Terms and Conditions in a language other than French is provided for convenience and you understand and agree that the French version will prevail if there is a conflict.

4. ERRORS AND CORRECTIONS

4 .1. General

eduZone does not guarantee the accuracy, completeness or timeliness of the information, documents, or content available on the Site. Errors in information, documents and / or content may occur. eduZone and its members may, at their sole discretion and at any time, modify the information, documents, or content available on the Site, without notice or liability to you or any other person.

4.2. Product descriptions

eduZone aims to be as precise as possible but does not guarantee that the descriptions of the products or services available on the Site are complete, reliable, or up to date. If a physical product is not identical to its description, quickly contact support@eduzone.ca. If you have a problem or question regarding a product purchased from eduZone or if you require additional information, you can contact eduZone by completing the information form.

5. PRICES AND PRODUCTS

5.1 Payment

eduZone and its member colleges, universities, and other institutions (collectively, “Members”) provide services and products for a fee (e.g., access to courses and to online training). For anything you choose to purchase from the eduZone site, you agree to pay all applicable fees when they are due. As described in the Privacy Policy , the processing of your payment information is carried out by a third party payment provider, and you will be directed to a secure payment flow controlled by that provider to complete the payment transaction. Once your payment transaction is complete, an eduZone confirmation page will appear and you will receive a confirmation email with your name, order number and payment amount. Please keep this email for your records as this information will be needed if you wish to request a refund from eduZone, when applicable, as described below.

5.2 Prices

The prices displayed on the Site are in Canadian dollars before taxes and shipping costs. The price is payable only by credit card and must be paid in full in one installment at the time of ordering. All orders are payable in Canadian dollars only. For deliveries abroad, you are responsible for all customs charges and/or local taxes.

5.3 Taxes

In the event that eduZone is required to collect or pay any taxes, duties or customs duties, including interest and / or penalties (other than eduZone income tax), associated with the sale of products ("Taxes"), eduZone will charge you the Taxes, unless you provide a valid tax exemption certificate authorized by the relevant tax authority. If you are required by law to withhold payment of Taxes, you must provide eduZone with an official certificate or other relevant documentation to support such payments.

5.4 Refunds

Most purchases on eduZone are not eligible for refunds.

However, certain purchases on the eduZone site may be eligible for a refund for a specify period (namely, the “refund period”). In these cases, the refund period is specified in the product description. Refunds will be credited to the payment account used for the purchase and may take up to two billing cycles to process. For more information, contact support@eduzone.ca.

If the applicable refund period for a purchase has passed or no refund period is allowed for your purchase, but you believe a refund is warranted, please submit a support ticket through support@eduzone.ca.

Discount codes and other rights to access online training are subject to expiration and any other conditions stated at the time of purchase.

6. SHIPPING AND DELIVERY FOR NON-DOWNLOADABLE PRODUCTS

6.1. Delivery time

eduZone aims to process orders for products in stock within three working days, to which approximately one to three days must be added for delivery in Quebec. eduZone will in no case be held responsible for a delay in delivery resulting from a shortage of stock or attributable to the carrier.

6.2. Shipping costs

Shipping costs include preparation costs, packaging costs and shipping costs. They are established based on the delivery address and the total amount of the order before taxes and shipping costs. You cannot combine several orders to benefit from a reduction on the shipping costs.

7. RETURN POLICY

7.1. Downloadable products

No exchange, credit or refund will be accepted after confirmation of a sales transaction for a downloadable product. eduZone can in no way be held responsible for any compatibility problems between a downloadable product and an electronic device, except when the description of the displayed product is inaccurate.

7.2. Non-downloadable products

The physical items supplied by eduZone are new and guaranteed to be free from defects – except when they were damaged during shipment. If it happens that an item is defective or does not correspond to what had been ordered, eduZone undertakes to exchange it or to refund it, including the shipping costs, within 10 days of the delivery date, provided that it is accompanied by a copy of the eduZone invoice. To return merchandise, you must reach support@eduzone.ca by email, enter your name, order number and phone number. The after-sales service will contact you for more details.

8. ACCOUNT

8.1 User account

To create a user account, you must provide your full name, email address, country or region of residence, public username, and user password. You agree never to disclose or share access information or access to your user account with any third party for any reason. When setting up your user account, you may be prompted to enter additional optional information (for example, your year of birth). You represent that all information provided by you is accurate and up to date. You agree to maintain and update your information to keep it accurate and up to date.

We care about the privacy and security of your personal information. Please see the Privacy policy for more information on the collection and use of data on the eduZone site.

8.2 Liability

You are responsible for maintaining the confidentiality of your account, your password and for restricting access to your computer. You accept responsibility for all activity that occurs on your account. You agree not to solicit, collect, or use connection information from other eduZone users.

8.3 Representations and guarantees

By registering on the Site, you represent and warrant that all information in your account is true, accurate, complete, and up to date. If you use the Site on behalf of a legal person or any other person, you represent and warrant that you are duly authorized to enter into an agreement on behalf of that legal person or other person.

9. SECURITY AND PERSONAL INFORMATION

9.1. Personal Information

eduZone is committed to protecting your personal information and your privacy. Each time you access or use the Site, you consent to the collection, use, disclosure, and retention of your personal information in accordance with these Terms and Conditions. More specifically, when you place an order, eduZone requires your name, your email address, the postal address at which you wish to receive your order, as well as your credit card number and its expiration date. eduZone, its financial institutions and related service providers use the information you provide only to fulfill your orders. eduZone undertakes not to sell, market, transfer, rent or lend your information to third parties, except as expressly stipulated in these or other applicable eduZone policies.

9.2. Suppliers

eduZone may provide your personal information to its subsidiaries, agents, suppliers, and service providers in connection with matters relating to your use of the Site. When you place an order on the Site, you authorize eduZone to communicate your personal information (including, but not limited to, your payment information) to its subcontractors to fulfill your order.

9.3. Security Disclaimer

Although that eduZone puts out its best efforts to offer a fully secure site, you acknowledge that the Internet can be subject to security vulnerabilities and threats to privacy that are beyond the control of eduZone, and for which eduZone will not be held responsible to you or any other person.

9.4. Identity of users

eduZone can, but is under no obligation to, verify the identity or authority of any person who accesses or uses the Site.

10. COMMUNICATIONS, INFORMATION, ADVICE AND UPDATES

10.1. Communications

You consent that eduZone may receive communications from you through the Site or by email, telephone or other means of communication, and you consent that eduZone may respond to your communications through the Site (for example, through your account or by posting notices), or by email, telephone or other means of communication. Communications sent to eduZone will not be deemed delivered or effective until they are processed by the responsible eduZone representative. You agree that all agreements, notices, information, and other communications that eduZone transmits to you electronically will satisfy any legal provisions requiring that such communications be in writing.

10.2. Information

You should ensure that all information you transmit through the Site (including, but not limited to, personal information for authentication purposes, personal contact details, and credit card details) is and remains true, accurate, up-to-date and complete, and you agree to update such information as soon as possible if it is subject to change. eduZone relies on the information you submit to us. You are responsible for any loss, damage, liability, obligation or additional cost that you, eduZone or any other person (including other users) may incur as a result of inaccurate, outdated or incomplete information that you have provided to them.

10.3. Notice

When you create an account with the Site, you consent to eduZone sending you email notifications to keep you informed of information that eduZone deems relevant, including, but not limited to, announcements or information about your account, notices of new products, or any other information that may be relevant. You can opt out of receiving these notices and announcements if you do not wish to receive them.

10.4. Updates

To keep the Site's operating software up to date, eduZone may offer automatic or manual updates at any time, without notice.

11. User Publications

11.1 Responsibility for your publications

You acknowledge that you are responsible for your own use of the eduZone site and your publications as users. "User Publications" means all content submitted, posted or distributed on the eduZone Site by you or other users of the eduZone Site, including, but not limited to, all forum postings, changes to wiki, ratings, questions, comments, videos and file downloads. You agree to use the eduZone site in accordance with these agreements and all applicable local, regional, national and international laws, rules and regulations, including copyright laws, all laws regarding the transmission of technical data exported from your country of residence.

11.2 Declarations and guarantees of user publications

By submitting or distributing your User Publications, you affirm, represent and warrant (1) that you have the necessary rights, licenses, consents and / or permissions to reproduce and publish User Publications and authorize eduZone and its users to reproduce, modify, publish and otherwise use and distribute your User Publications in a manner consistent with the licenses granted by you below, and (2) neither your submission of your User Publications nor the exercise of the licenses granted below will not infringe or violate the rights of any third party. You, and not eduZone, are solely responsible for your user posts and the consequences of their posting.

11.3 License Grant to eduZone and Members

By submitting or distributing your User Publications, you hereby grant eduZone and the Members (as described below) a worldwide, non-exclusive, transferable, assignable, licensed, fully released, free of charge rights, perpetual and irrevocable, to host, transfer, display, perform, reproduce, modify, distribute, redistribute, license and use, make available and otherwise exploit your user posts, in whole or in part, in any form and in all media formats and on all media channels (now known or hereafter developed).

11.4 Prohibited items

THE FOLLOWING ELEMENTS ARE STRICTLY PROHIBITED ON THE EDUZONE SITE:

  • Content that defames, harasses, or threatens others.
  • Content that deals with illegal activities with the intent to commit them.
  • Content that infringes the intellectual property of others, including, but not limited to, copyrights or trademarks.
  • Profane, pornographic, obscene, indecent, or illegal content.
  • Advertising or any form of commercial solicitation.
  • Content related to partisan political activities.
  • Viruses, Trojans, worms, time bombs, corrupted files, malware, spyware, or any other similar software that may damage the functioning of the computer or the property of others; and
  • Content that contains information that is intentionally inaccurate or that is posted with the intent to mislead others (this list, collectively, “Strictly Prohibited Items”).

You may not submit, post, share or distribute in any way any of the above strictly prohibited material on or through the eduZone site.

11.5. Content monitoring

eduZone may, but is under no obligation to, monitor the content of your reviews, comments, and posts.

11.6. Removal of content

eduZone may, but is under no obligation to, remove, edit and/or block any content that does not comply with these Terms and Conditions, other eduZone policies, applicable laws or regulations, or for any reason other than it would be. Content removed from the Site may continue to be stored by eduZone, including, without limitation, to comply with certain legal obligations, but may not be accessible without a valid court order.

11.7 Disclaimer Regarding User Posts

You understand that when using the eduZone site, you will be exposed to User Publications from various sources and that neither eduZone nor the eduZone participants are responsible for the accuracy, usefulness, reliability or rights intellectual property rights of or related to these user publications. You further understand and acknowledge that you may be exposed to user postings that are inaccurate, offensive, defamatory, indecent or objectionable and you agree to waive, and hereby waive any legal right or remedy that you have or may have against eduZone or any of the eduZone Participants in this regard. Neither eduZone nor any of the eduZone Participants endorses any User Publications or the opinions, recommendations or advice expressed therein. Neither eduZone nor any of the eduZone participants has any obligation to monitor User Publications or any other user communication through the eduZone site.

However, eduZone and Members reserve the right to review User Publications and exercise their sole discretion to edit or remove, in whole or in part, any User Publications at any time and for any reason, or to allow eduZone participants to do so. Without limiting the foregoing, upon receipt of notice from a User or Content Owner that a User Publication does not comply with these Terms & Conditions, eduZone may investigate the allegation and determine to its sole discretion whether to remove the User Publications, which it reserves the right to do at any time without notice.

12. ACCEPTABLE USE

12.1. Acceptable use

Use of the Site must be lawful, ethical, and respectful of the rights and legitimate interests of all other persons (including, without limitation, the protection of personal information, personality rights and intellectual property). You may use the Site only as described in these Terms and Conditions and other applicable eduZone policies and subject to each and all applicable laws and regulations. Only persons who can enter legally binding contracts and who have accepted the Terms and Conditions may access and use the Site.

12.2. License for downloadable products

Subject to compliance with these Terms and Conditions, eduZone grants you a limited, non-exclusive, non-transferable, and non-sublicensable license to access and use any downloadable products or training material purchased from the Site. Resale, distribution, or any other similar use of these products purchased on the Site is strictly prohibited.

12.3. Use prohibited

You may not use the Site for illegal or unauthorized purposes. Without limiting the generality of the foregoing, the following non-exhaustive list sets out prohibited uses of the Site:

12.3.1 The Site may not be reproduced, duplicated, copied, published, sold, resold, exploited for commercial purposes, downloaded, displayed, transmitted, modified, imitated or distributed in any way, in whole or in part , without the express written consent of eduZone.

12.3.2 You may not collect and use product lists, descriptions or prices and any derivative use of the Site, whether in whole or in part, is strictly prohibited. Framing, mirror image copying, scraping, data mining, robots or any other similar data recovery and extraction tools used in connection with the Site in any form whatsoever are strictly prohibited.

12.3.3 You may not change, modify, adapt, or alter the Site or change, modify, or alter another site to falsely imply an association with the Site or eduZone. You may not access the private application programming interface of eduZone by any means other than those authorized by eduZone.

12.3.4 You may not interfere with or disrupt the Site or the servers or networks connected to the Site, in particular by the transmission of worms, viruses, spyware, malware or any other code of a destructive or disruptive nature. You may not use the Site, directly or indirectly, in any way or for any purpose whatsoever that damages, disables, harms, overloads or compromises any element of the Site or systems connected to the Site, or that has the potential to do any of the foregoing, or which may cause, facilitate or result in the circumvention or violation of any user authentication measures, password, code, security or control measures relating to the Site or other systems linked to the Site, or otherwise to alter or interfere with the way any part of the Site is rendered or displayed in a user's browser or device.

12.3.5 You may not encourage or facilitate violations of the Terms and Conditions or any other policies of eduZone.

12.3.6 You may not use or incorporate any part of the software on the Site in your own programs or transfer it for use with another service, or sell, rent, lend, distribute, assign or sublicense the software, in any or in part.

12.4. Complaints about Acceptable Use violations

You may report violations of acceptable use of the Site by sending a complaint to eduZone at support@eduzone.ca, stating your name and contact details, as well as the subject of your complaint and a concise summary thereof.

13. INTERRUPTION, SUSPENSION AND TERMINATION

13.1. Interruption

Access to or use of the Site may be interrupted without notice, including, without limitation, for maintenance or periodic updates, emergency repairs, cases of failure of telecommunications systems and/or equipment. eduZone will not be held responsible towards you or any other person for any modifications, interruptions, or shutdowns of the Site.

13.2. Suspension

eduZone may, at its sole discretion and at any time, suspend your access or use of the Site for a period that eduZone deems necessary, without notice and without liability to you or any other person.

13.3. Termination

eduZone may, at its sole discretion and at any time, refuse, revoke or terminate access to or use of the Site, accounts or content for any reason, at any time, without notice and without liability to you or any other person. Without limiting the generality of the foregoing, your rights to use the Site will automatically terminate without notice if you breach the Terms and Conditions and eduZone may terminate your access to and use of the Site if you create a risk of legal exposure for eduZone or if you repeatedly infringe the intellectual property rights of eduZone or others.

13.4. Effects of termination

Upon termination, all licenses and other rights granted to you under the Terms and Conditions will cease immediately.

14. PROPERTY RIGHTS

14.1 Site, downloadable content and educational content

The Site, and in particular, all operating software, and all content, text, graphics, video and audio, including, without limitation, images, logos, icons, designs, applications, digital downloads, audio clips , data, codes, software and documents and other elements available through the Site are the property of eduZone or its licensors. These are protected by copyright, trademark, patent, trade secret and other laws, and, between eduZone and you, eduZone and its licensors own and retain all their rights, titles and interests in, relating to and associated with the Site. All rights not expressly granted herein are reserved to eduZone.

Unless expressly stated otherwise on the eduZone site, texts, exams, videos, images and other educational materials provided with the courses and training programs offered on the eduZone site are intended for your personal use in connection with these courses and training programs only. Certain reference documents, digital manuals, articles and other information on the eduZone site are used with the permission of third parties, and the use of such information is subject to certain rules and conditions, which will be published with the information. By using the eduZone site, you agree to abide by all these rules and conditions. You agree to retain all copyright and other notices in any content you obtain from the eduZone site. All rights to the eduZone site and its content, if not expressly granted, are reserved.

14.2 Modification and Copy

You may not remove, modify or disguise any copyright, trademark, service mark or other intellectual property rights incorporated or accompanying the Site and you may not reproduce, reverse engineer, modify, adapt, create derivative works, perform, display, publish, distribute, transmit, broadcast, sell, license or otherwise exploit the Site or the products. You must respect the intellectual property of eduZone and all other persons concerned.

14.3 Trademarks

The name EDUZONE is the trademark of eduZone and may not be copied, imitated, or used, in whole or in part, without the prior written permission of eduZone. Further, all graphics, page headers, icons and scripts are trademarks and / or service marks of eduZone and may not be copied, imitated, or used, in whole or in part, without permission. written prior to eduZone.

All trademarks that do not belong to eduZone or to the members that appear on the eduZone site or on or through the services made available on or through the eduZone site, as the case may be, are the property of their respective owners.

Nothing contained on the eduZone site should be construed as granting, by implication, estoppel or otherwise, any license or right to use any trademark displayed on the eduZone site without the written permission of the owner of the applicable mark.

14.4 Notice of copyright infringement

Copyright holders who believe their content has been infringed on the eduZone site should contact eduZone's designated copyright agent at copyright@eduzone.ca.

The notification should include:

  • Identification of the work protected by copyright or, in the case of several works in the same place, a representative list of these works on this site.
  • Identification of allegedly counterfeit material or subject to counterfeiting activity. You must include enough information so that we can locate the material (eg URL, IP address, server name).
  • Information to enable us to contact the complaining party (for example, email address, telephone number).
  • A statement that the complaining party believes that use of the material has not been authorized by the copyright owner or an authorized agent.
  • A statement that the information in the notification is correct and that the complaining party is authorized to act on behalf of the copyright owner.

15. THIRD PARTY SITES

For convenience, the Site provides links or references to other websites, features or services operated by third parties. The eduZone site and individual courses and online training may be integrated with third party services or include hyperlinks to websites managed or controlled by third parties. eduZone and eduZone participants are not responsible for and do not systematically screen, approve, review, or endorse the content or use of any of the products or services that may be offered by such third parties.

If you decide to access any third party services or linked third party websites, you expressly acknowledge and agree that your use of and dealings with any third party sites, features or services are at your own risk and that eduZone does not will in no way be held responsible for any claims arising from or relating to it.

16. DISCLAIMER OF WARRANTIES, LIMITATION OF LIABILITY, EXCLUSIONS, RELEASE, AND INDEMNIFICATION

16.1. Exception

THE LAWS OF SOME JURISDICTIONS, INCLUDING THE QUEBEC CONSUMER PROTECTION ACT, DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR CONDITIONS OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, ALL OR PART OF THE DISCLAIMERS, EXLUSIONS OR LIMITATIONS OF LIABILITY MAY NOT APPLY TO YOU AND YOU MAY HAVE ADDITIONAL RIGHTS.

16.2. Definitions and interpretation

In this Article 16, the term "eduZone" means eduZone and its employees, directors, officers, representatives, agents, information providers, service providers, subcontractors, licensors, licensees and all other related, associated or connected. This section 16 applies regardless of any negligence, fault or wrongdoing, including any fundamental breach or gross negligence, by eduZone or any other person for whom eduZone is responsible, and this, even if eduZone has been notified, knew or should have been aware of the possibility of incurring loss or damage.

16.3. Disclaimer of Warranties

eduZone accepts no responsibility for your use of the Site or any other aspect of the Site or transactions made through the Site. eduZone makes no representations or warranties of any kind, express or implied, as to the operation or use of the Site or anything included or otherwise made available through the Site, unless otherwise specified in writing. You expressly agree that you use the Site at your own risk. Without limiting the generality of the foregoing, you acknowledge and agree to the following disclaimer of warranties by eduZone:

16.3.1 The Site is provided "as is", "as available", and "with all faults", unless otherwise specified in writing;

16.3.2 To the fullest extent permitted by law, eduZone expressly excludes all warranties, express or implied, including, but not limited to, implied warranties of title, merchantability and fitness for a particular purpose;

16.3.3 eduZone makes no representation or warranty to the effect that: (i) the Site will be compatible with your computer and the equipment and software connected to your computer; (ii) the Site will be available or will operate without interruption; (iii) the Site will be free of errors or that errors will be corrected; (iv) the information available on or through the Site will be accurate, up-to-date, authentic, complete, uninterrupted and / or sequential; (v) some or all of the results may be obtained by virtue of access or use of the Site; (vi) the Site will meet your requirements; (vii) the Site will be secure at all times; (viii) access and use of the Site will be free from viruses, Trojans, worms or other similar disruptive devices; (ix) the Site will not infringe the rights (including intellectual property rights) of any person; (x) the Site will be of a certain quality or meet a certain level of performance; and (xi) you will have peaceful enjoyment of the Site; and eduZone disclaims all liability to the fullest extent permitted by law with respect to any and all of such matters.

16.3.4 No representation, warranty or condition may result from any transaction, modality of execution or from commercial practices or customs.

16.4. Exclusions

eduZone will not be liable to you or any other person, under any circumstances, for any loss or damage of any kind (including, without limitation, any direct, indirect, economic, exemplary, special, punitive loss or damages, incidental or consequential which are directly or indirectly related (a) to the Site; (b) to these Terms and Conditions; (c) to any other eduZone policy; (d) to any measures taken as part of an investigation carried out by eduZone or any other competent authority concerning you or any use of the Site; (e) to any measures relating to infringement of copyright or other intellectual property rights; (f) to any error or omission in the use of the Site; (g) to any damage to your computer, mobile device, or other equipment or technology, including, but not limited to, damage related to any breach of security or any virus, bug, alteration, fraud, error, omission, interruption, defect, delay relating to operation or during transmission, computer failure or network failure or any other technical or other defect; or otherwise, including, without limitation, damages for loss of profits, loss of reputation or goodwill, loss of data (including, without limitation, customer data), work stoppage, accuracy of results, or failure or mobile device malfunction, even if this was foreseeable or even if eduZone was advised or should have known of the possibility of such damages, whether contractual, extra-contractual, of strict liability or covered by another principle of law or of fairness (including, without limitation, whether caused in whole or in part by negligence, force majeure, telecommunications failure, theft or destruction).

16.5. Limitations of Liability

In the event that, notwithstanding the aforementioned disclaimers and limitations, eduZone is liable to you or any other person, the aggregate amount of eduZone 's liability to you or any other person under any theory of liability (including , without limitation, contractual, extra-contractual or strict liability) may never exceed ten Canadian dollars ($10.00).

16.6 Exclusion of injunction

You agree that, in the event that you suffer any damages or losses that arise from eduZone's acts or omissions, the damages, if any, caused to you are not irreparable or sufficient to entitle you to a claim an injunction preventing the operation of the Site or other sites, or any services, goods, products or other content owned or controlled by eduZone, and you will have no right to prohibit or restrict the development, production, distribution, advertising, display or operation of the Site or any other site, property, content, product, service or other content owned or controlled by eduZone.

16.7 Receipt

You, by these Terms and Conditions, give full, general, and final discharge to eduZone in relation to any obligation, liability, claim or request not covered by the exclusions and limitations provided for in article 16.

16.8 Compensation

You (or the third party on whose behalf you are duly authorized to act) agree to indemnify, hold harmless and take legal action for eduZone against all claims, liability, damage, loss, cost and expense, including, without limitation, reasonable legal fees as well as costs arising directly or indirectly in any way from the following: (i) access or use of the Site; (ii) relationships with other users; (iii) your publications on the Site; (iv) violation of the Terms and Conditions; (v) the violation of any right of any third party, including, but not limited to, any intellectual property right, personality, property or privacy; (vi) violation of any law, rule, regulation, code, decree or ordinance of any governmental or quasi-governmental authority, including, but not limited to, any regulatory, administrative and legislative authority; or (vii) any misrepresentation. You shall cooperate fully as reasonably required by eduZone in the defense of any claim or demand. eduZone reserves the right to assume the exclusive defense and control of any matter subject to indemnification from you, and you may not settle any claim without the prior written consent of eduZone.

16.9 Recognition

You acknowledge and agree that the Terms and Conditions correspond to an equitable distribution of risks and responsibilities. Any information and/or advice given by eduZone (verbally or in writing), will not create any representation, warranty or condition and will not modify or amend the Terms and Conditions, including the articles relating to disclaimers of warranties, above limitations of liability, exclusions, release and indemnity, and you acknowledge and agree that you may not rely on any such information or advice.

17. REMEDIES

If you do not agree with each and all the provisions of the Terms and Conditions or if you are not satisfied with the Site, your sole remedy is to immediately cease using the Site.

18. MISCELLANEOUS

18.1. Relations between the parties

eduZone and you are independent contractors and nothing in these Terms and Conditions or any other policy shall create or be construed as creating a general partnership, a joint venture, a principal and agent relationship, an employee relationship and employer or any other similar relationship between eduZone and you.

18.2. Sub-contractors

eduZone may, at its sole discretion, engage subcontractors to perform its obligations under the Terms and Conditions.

18.3. Archives

Unless there is evidence to the contrary, eduZone's archives constitute conclusive proof of your access and use of the Site and all content available on or in connection with it. In the event that legal proceedings were instituted, you hereby agree not to object to the admissibility of these documents as evidence on the grounds that they are not originals, that they are not writings, or that they constitute hearsay.

18.4. Applicable law and choice of forum

The eduZone offices are located in Montreal, province of Quebec (Canada). These Terms and Conditions are governed by the laws of the province of Quebec and the laws of Canada applicable, without regard to the principles of conflicts of laws, and must be interpreted in accordance with them. All proceedings relating to the Site, to these Terms and Conditions, to any other related question or to the relations between the parties must be brought exclusively before the courts having jurisdiction in the judicial district of Montreal, province of Quebec (Canada). eduZone and you expressly exclude the application and effect of each and all of the provisions of the United Nations Convention on Contracts for the International Sale of Goods (1980) (also referred to as the Vienna Convention (1980)) and any act of execution of this law.

18.5. Autonomy of provisions

In the event that a provision, or paragraph thereof, of these Terms and Conditions is declared invalid, void or inapplicable by a court of competent jurisdiction, the parties agree that this provision, or paragraph thereof, will then be deemed no longer be part of these Terms and Conditions. The other provisions of these Terms and Conditions will then remain in force, enforceable and fully applicable. Neither the conduct of the parties, the manner of performance nor commercial practice or custom will modify these Terms and Conditions.

18.6. No waiver

The failure of eduZone to ensure strict compliance with any provision of the Terms and Conditions may not be interpreted as a waiver of any provision or right described herein. No waiver of any of the Terms and Conditions shall be deemed to be an additional or permanent waiver of that term or condition or of any other term or condition.

18.7. Entirety

These Terms and Conditions govern your use of the Site, constitute the entire agreement between eduZone and you, and supersede and cancel all prior agreements (written, verbal or otherwise) between eduZone and you with respect to your access and use of the site.

18.8. Application and assignment

The Terms and Conditions apply for the benefit of and bind eduZone and its successors, assigns and related persons, as well as you and your heirs, executors, administrators, successors, assigns and representatives. You may not assign or delegate the Terms and Conditions or the rights and obligations they confer on you without eduZone's prior written consent. eduZone may assign the Terms and Conditions or any rights and obligations they confer, without your consent.

18.9. Territorial restrictions

The information available on the Site is not intended for distribution or use by any person or entity in a territory or country where such distribution or use would be contrary to any applicable law or regulation, or would impose an obligation on eduZone registration in such jurisdiction or country. eduZone reserves the right to limit access to the Site, in whole or in part, to any person, geographic area or jurisdiction, at any time and at its sole discretion, and to limit the quantities of any content, training program or product or another element provided by eduZone.

18.10. Interpretation

When the context requires it, the use of the masculine and the singular in the Terms and Conditions also includes the feminine and the plural, unless the circumstances do not lend themselves to it, in order to simplify the text.

18.11. All rights reserved

All rights, which are not expressly granted by these Terms and Conditions, are reserved to eduZone.

Code of Honor

1. Collaboration policy

By registering for a course or training on eduZone, you join a community of learners. You are part of the community that will help eduZone achieve this goal. eduZone depends on your motivation to learn the material and to do so with honesty and academic integrity. To participate in eduZone, you must agree to the Honor code below and any additional conditions specific to a course or program. This Honor code and any additional conditions will be posted on each course website.

2. Code of Honor commitment

By registering for a course or program on eduZone, I agree to:

  • Complete all tests and assignments by myself unless collaboration on a task is explicitly allowed.
  • Maintain only one user account, unless eduZone has approved the use of a separate user account as part of an employer or university sponsored program.
  • Do not let anyone else use my username and/or password.
  • Do not engage in any activity that would dishonestly improve my results or improve or harm the results of others.
  • Do not post answers to problems used to assess learner performance.

3. Violations

If you are found to be in violation of the Terms of Service or the Code of Honor in the context of a training program, you may be subject to one or more of the following actions:

  • Receive no credit or zero for an exercise or exam.
  • Have any certificate obtained in the course or program retained or revoked.
  • Unsubscribe from a course or program; or
  • Termination of your use of the eduZone site.
  • Additional actions may be taken at the sole discretion of eduZone course providers and eduZone members.

No refund will be issued for corrective action for such violations.

Violations of the Code of Honor will be determined at the sole discretion of eduZone members. You will be notified if a determination has been made that you have violated this Code of Honor and you will be notified of the corresponding action to be taken because of the violation.

4. The Code of Honor

Please note that we revise and may make changes to this Code of Honor from time to time. Any changes to this Code of Honor will be effective upon posting on this page, with an updated effective date. By accessing the eduZone site after any changes have been made, you signify your agreement on a prospective basis to the amended Code of Honor and any changes it contains.
